8. CONSULTANT AN INDEPDENDENT CONTRACTOR
Consultant is an independent contractor, and neither Consultant nor Consultant's staff is, or shall be deemed Client's employees. Consultant agrees and represents, and Client agrees as follows:

(a) Consultant has sole right to control and direct the means, manner, and method by which the services required by this Agreement will be performed.

(b) Consultant has the right to perform services required by this Agreement at any place or location and such times as Consultant may determine.

(c) The services required by this Agreement shall be performed by Consultant, or Consultant's staff and Client shall not be required to hire, supervise, or pay any assistants to help Consultant.

(d) Consultant is responsible for paying all ordinary and necessary expenses of its staff.

(e) Consultant or Consultant's staff shall be required to devote full time to performance of the services required by this Agreement.

(f) Consultant's staff approved by the Client as per the submitted proposal should perform efficiently, consistent with good workmanship and to the satisfaction of the client. If the Consultant staff fails to meet the expected performance than the Client reserve the right to ask for a replacement and same should be done within allotted period of time.

(g) Consultant's personnel are absent due to sick leave with a maximum of two days leave , Emergency leave with a maximum of fourteen days and Annual leave. Consultant should provide the supporting documents for the information of the Client.
If repetitive absence and tardiness either intentional or unintentional is established by the Client then Client reserves the right to replace the concerned personnel of Consultant.

(h) Client shall not provide insurance coverage of any kind for Consultant or Consultant's staff.
